Terms & Conditions of Sale

General

These Terms and Conditions shall apply to and govern all sales agreements entered into by Mantala Malta Ltd ("Mantala") and the Client.

Any amendment to these Terms and Conditions shall be approved in writing and signed by a Director of Mantala.

Quotes, Offers and Orders

Quotes and offers are always non-binding and subject to approval by Mantala.

A sales agreement is entered into when Mantala accepts the order in writing.

Prices are in European Union Euros (€ EUR) and do not include VAT and any other tax, duty, excise.

Invoices and Payments Terms

Invoices are due and payable by bank transfer within 30 days from the date of the invoice.

Shipping, Taxes and Import

The Client is responsible for all sales, use, withholding, value added or import taxes and any other sort of tax, excise or duty.

The Client is responsible for import clearance and any tax, charge, fee, cost, procedure and compliance relating to the import clearance.

Except as otherwise agreed, all software is delivered online.

Except as otherwise agreed, goods will be DAP Client’s Shipping Address Incoterms^® 2010. The Client’s Shipping Address is subject to acceptance by Mantala.

Resale and Export

All sales are for Client’s own internal use only and not for resale or export.

Returns, Refunds and Exchanges

All sales are final and returns, refunds or exchanges are not accepted.

Software Licenses and Service Agreements

Software is subject to separate software license agreement.

Services are subject to separate service agreements.

Privacy and Confidentiality

Privacy and Confidentiality are subject to separate statement.

Force Majeure

Mantala shall have no liability under or be deemed to be in breach of these Terms and Conditions for any delays or failures which result from circumstances beyond the reasonable control of Mantala.

Place of Execution

Place of execution is the territory of the Republic of Malta.

Governing Law

These Terms and Conditions, any related agreement or sale, and any claim, dispute or controversy between Mantala and the Client, including their directors, employees, affiliates, contractors, agents, arising from or relating to these Terms and Conditions, shall be governed by the laws of the Republic of Malta.
